Your questions
Understanding the role of lawyers and notaries in business law
Do you need support in business law? Here are the questions most frequently asked by our clients.
Notary and lawyer: what distinctions and complementarities?
From their initial training in law to the powers assigned to them, the notary and the lawyer do not have the same functions in the legal field, but can be complementary.
The biggest difference lies in the powers they are granted by law.
Indeed, lawyers can go into litigation and represent their client before the judge or the court in contentious matters. The notary can also represent a professional or an individual, but only in non-contentious matters.
On the other hand, the law gives the notary the status of public officer, allowing him to be the only one who can carry out authentic acts, such as for a real estate sale or a conventional mortgage.
The notary and the lawyer also have a common function, that of legal advisor. However, given their different powers, their expertise is not the same, each having their respective specialities which are regularly brought to complement each other, particularly in the field of real estate business law.
The synergies developed by notaries and lawyers within AGN Haussmann allow us to offer a hybrid service, with the know-how of both professions. AGN Haussmann thus covers a wider range of legal matters, and provides its clients with greater legal security.
I am a real estate professional, who can I get support from?
AGN Haussmann currently has seven associate notaries specialised in the setting up and implementation of real estate projects and financing operations and twelve associate lawyers who deal with all the legal and tax issues related to these operations on a daily basis.
This structure allows for the joint analysis of cases, with lawyers and notaries working together in an integrated manner to serve clients, ensuring efficiency and responsiveness.
They can also call on the skills of the entire AGN Avocats network, which currently has more than 25 offices and 70 lawyers in France, as well as all the staff of the Lasaygues law firm.
Nevertheless, each professional retains his or her specificity and independence in the exercise of his or her profession. Complementarity, confidentiality and professional secrecy are thus guaranteed.
Asset deal or share deal: how to choose?
The structuring of a real estate investment transaction often starts with the difficult choice of whether to acquire the company that owns the real estate asset concerned (share deal) or to acquire the real estate asset directly (asset deal).
The option chosen has serious legal and tax consequences at the time of the transaction, but also during its holding and exit.
For this reason, this step should not be taken lightly.
Our multi-professional approach allows us to provide real estate players with a complete analysis of the legal and tax aspects impacting this choice, in order to opt for the most advantageous structure on a case-by-case basis.
